You agree not to upload, post, or otherwise transmit via the Website Content that is (a) inaccurate, harmful, obscene, pornographic, defamatory, racist, violent, offensive, harassing, or otherwise objectionable to Vgosh Info or other users of the Website; (b) includes unauthorized disclosure of personal information; (c) violates or infringes on anyone’s intellectual property rights; or (d) violates or infringes on anyone’s intellectual property rights or (d) includes software viruses or any other computer code, files, or programmers that are designed to disrupt, damage, or limit the operation of computer software, hardware, or telecommunications equipment. Vgosh Info has the right to modify or remove Content that is in violation of these Terms or contains commercial ads from third parties.

3. Terms and Conditions of Service

Vgosh Info will make reasonable efforts to complete the services within the agreed-upon timeframe (if any) in any applicable SOW. The Customer recognizes that the services cannot be rendered until the Customer has provided Vgosh Info with all content, other materials, and information that Vgosh Info reasonably requests. Vgosh Info will not be liable for any delays or failures that are the direct or indirect result of the Customer’s conduct or omission, or a breach of this agreement by the Customer.

4. Rights to Intellectual Property

All right, title, and interest in and to the Deliverables shall be maintained by the Customer. Only once the Consultant has received complete payment from the Customer will the Customer be awarded rights, title, and interest in and to the Deliverables. To the extent that the Deliverables include Consultant pre-existing intellectual property (“Consultant Pre-Existing IP”), and such Consultant Pre-Existing IP is required for the proper functioning of the Deliverables, Consultant grants Customer a perpetual, non-exclusive, worldwide, transferable, royalty-free permit to use such Consultant Pre-Existing IP solely in conjunction with the Deliverables.

5. Guarantees

Except as expressly stated in this Agreement, the parties disclaim all implied, statutory, and other warranties, including, without limitation, the implied warranties of merchantability, non-infringement, title, and fitness for a specific purpose.
